Terms of Service for Mailsound

These terms are a contract between you and Virtunet B.V. (Dullofsakker 44, 5688VD Oirschot, the Netherlands, KvK 95773444), called "we" or "Virtunet", for the use of Mailsound at https://mailsound.virtunet.io (the "Service"). By creating an account, paying for, or using the Service you accept these terms.

1. Business use only

The Service is offered to businesses, self-employed persons and organisations acting in the course of their trade or profession. It is not offered to consumers. You confirm that you use the Service for business purposes.

2. The Service

Mailsound is a software tool. It reports, flags, computes or reminds based on the input you give it and on public data. It is automated and self-service. It does not give legal, tax, security, or professional advice, and its output is information for you to review, not a decision made for you. We describe what the Service does on the product page; we do not promise any particular result, including that its findings are complete or that acting on them will prevent any loss.

3. Account and access

You need a valid business email address. Keep your sign-in links private. You are responsible for what happens under your account. You may not use the Service to check, scan or process domains, content or data you are not authorised to use, to send unsolicited messages, or to attempt to disrupt the Service or other users.

4. Fees and payment

Prices are shown on the product page, in euros, excluding VAT unless stated otherwise. VAT is added or reverse-charged according to the billing country and VAT id you give at checkout; you are responsible for giving a valid VAT id. Payment is processed by Stripe; we do not store card details. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account page; access continues until the end of the paid period. One-off purchases are paid once and give access for the period stated on the product page. We may change prices for a subscription with at least 30 days' notice by email; the new price applies from the next renewal after the notice period, and you may cancel before then. If a payment fails, we may suspend access until it succeeds; where you owe us an amount past its due date, the statutory commercial interest under Dutch law applies.

5. Refunds

If you are unhappy with the Service for any reason, ask for a refund at support@mailsound.virtunet.io and we will refund the most recent payment in full. This applies to subscriptions and one-off purchases. No explanation needed.

6. Your data and content

You keep all rights to the content and data you submit. You grant us the right to process it only to provide the Service. We store it in the European Union, keep it no longer than stated in the Privacy Policy, and delete it when you delete it or your account. Where we process personal data on your behalf, our Data Processing Agreement applies; it is available at https://mailsound.virtunet.io/dpa and on request.

7. Availability and changes

We aim for the Service to be available continuously but do not promise uptime. We may change, suspend or discontinue the Service or any feature. If we discontinue a paid Service, we will give at least 30 days' notice by email and refund any prepaid, unused period.

8. Support

Support is by email at support@mailsound.virtunet.io. We answer within a reasonable time; we do not offer phone support, service level agreements, or on-call response.

9. Warranty disclaimer

The Service is provided "as is" and "as available". To the extent permitted by law, we exclude all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement. In particular, the Service's findings, matches, computations and reminders may be incomplete or wrong, and you must review them before relying on them.

10. Limitation of liability

To the extent permitted by law:

• Our total liability to you for all claims arising out of or relating to the Service in any twelve-month period is limited to the amount you paid us for the Service in that period, or EUR 500 if that is higher.
• We are not liable for indirect or consequential loss, including lost profit, lost revenue, lost data, missed deadlines, contract renewals you did not cancel, ranking or traffic changes, emails that rendered or were delivered differently than expected, security incidents on your systems, or the cost of substitute services.
• Nothing in these terms limits liability for intent or gross negligence (opzet of bewuste roekeloosheid) on our part, or any liability that cannot be limited under applicable law.

11. Indemnity

You will indemnify us against third-party claims arising from content or data you submit, or from your use of the Service in breach of these terms, up to the amount you paid us for the Service in the preceding twelve months or EUR 500, whichever is higher, except in case of intent or gross negligence on your part.

12. Termination and data export

You may export your data and delete your account at any time from the account page; deletion removes your data as described in the Privacy Policy. Export first if you want to keep it. We may suspend or terminate your account if you breach these terms, with a refund of any prepaid, unused period unless the breach is intentional or unlawful; where we terminate, you get 14 days to export unless the law prevents it.

13. Changes to these terms

We may update these terms. We will show the date of the latest version at the top and, for material changes, email account holders at least 14 days before they take effect. Continued use after that date is acceptance.

13a. General

We are not liable for failure to perform caused by events outside our reasonable control (overmacht), including outages at our sub-processors. We may transfer this contract, together with the Service, to a buyer of the Service or of Virtunet B.V.; we will email you at least 14 days before and you may cancel with a refund of any prepaid, unused period. You may not transfer this contract without our consent. If a provision is invalid, the rest remains in force. Not enforcing a provision is not a waiver of it. Notices to you go to your account email; notices to us go to support@mailsound.virtunet.io. These terms, the Privacy Policy and the Data Processing Agreement are the entire agreement; for data protection matters the Data Processing Agreement prevails.

14. Governing law and disputes

Dutch law applies. Disputes are submitted to the competent court in the district of Oost-Brabant, the Netherlands, unless mandatory law provides otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
